1. INTRODUCTION

  1. These Website Terms and Conditions are a contract between you (“Visitor”, “Applicant”, “you” or “your”) and ZP Services Limited, a company registered under the laws of Malta, with Company Registration Number C-55308 and registered office at Dragonara Business Centre, G/-1, Ball Street, Paceville, Saint Julians, STJ3121, Malta (“we”, “us”, “our”, “ZP Services” or “Company”), and applies to your submission of the Form on our Website, or your access to the Website in order to view information on the services the Company offers. In order to make use of the Website, you must read, agree with and accept all of the terms and conditions contained in these Terms and Conditions. These Terms and Conditions are provided to you and concluded in English. You agree that by submitting the Form, or viewing any information on the Website you shall constitute your acceptance of the Terms and Conditions;

  2. These Terms and Conditions govern your use of the Website and constitute the legal relationship between you and us;

  3. It is recommended that you print out or otherwise save a copy of these Terms and Conditions for your own perusal and safe-keeping. For the avoidance of doubt, the version displayed on the Website shall always be the most recent version and shall be the only one applicable. We reserve the right to update, change or replace any part of these Terms and Conditions by posting updates and/or changes to our Website. It is your responsibility to check this page periodically for changes.

 

2. BACKGROUND / RECITALS

 

  1. The Website is a platform through which the Company provides an online-based Form which Applicants fill in and submit, alongside their personal CV, in order to be able to receive recruitment opportunities with the Company;

  2. The Website shall also serve as an online brochure, which the Visitors can access in order to obtain all the necessary information pertaining to the services offered by the Company.

 

3. DEFINITIONS

There are several key terms in these Terms and Conditions which are defined as follows:

“Amendment” shall have the meaning given in Clause 8;

“Applicant(s)” shall mean the person/s who, through the Website, provide/s personal details, by filling and submitting the Form;

 “Applicable Laws” shall mean such laws that concern the storage or transfer of personal information, including, but without limitation, the Data Protection Act, Chapter 440 of the Laws of Malta and the Data Protection Directive 95/46/EC, the Regulation (EU) 2016/679 of the European Parliament and of the Council on the protection of natural persons with regard to the processing of personal data and on the free movement of such data and in general, the relevant laws of Malta;

“Form” shall mean the online-based employment application, which the Applicant submits to the Company, which will include all the relevant information pertaining to employment history and Information, as set in this Clause 3. This definition shall also include the CV;

“Confidential Information” means any information related to the Applicant, needed in order to fill out the Form;

“Scope” shall mean the purpose behind the use of the Website, which is to obtain such relevant information from the Applicant, through the Form and such information will be used to analyse and consider the Form for any prospective recruitment purpose;

“Visitor(s)” shall mean the person/s who visit/s the Website in order to view any information with regards to the services offered by the Company through the Website

“Website” or “Site” refers to the website on which the Form may be located, including all ancillary pages, generally www.zp-services.com, or as applicable.

“Website Terms and Conditions” shall mean these terms and conditions referred to herein, including all subsequent Amendments or any future modifications.

 

4. UTILISING THE WEBSITE AND SUBMITTING THE FORM

 

  1. In order to make use of the Website, you are to fill in the Form available on the Website. By providing the required credentials in your uploaded Form you hereby accept these Terms and Conditions;

  2. By submitting the Form you are stating that:

  3. You have the legal capacity to do so in terms of the Applicable Laws; and

  4. You are not breaching the terms of any other contract you may be party to.

  5. By submitting the Form, you are authorising us to use the Information you provide:

  6. To further carry out the Scope including but not limited to forwarding necessary Information to you;

  7. For the internal operations of our Website and which includes but is not limited to data analysis, statistics, research, troubleshooting and testing; or

  8. As a security measure.

  9. Information about you may be shared with our subsidiaries, holding companies and its subsidiaries;

 

We may disclose your Information to comply with any legal obligation,  or to protect the rights and safety of the Website, or the Company;

 

5. APPLICANT’S REPRESENTATIONS AND WARRANTIES

In order to be eligible to use the Scope as set in this Website, you represent and warrant that all of the following are true of you from your entry into these Terms and Conditions until the termination of their application to you:

  1. You are residing in a country which allows the use of our Website without any reservations

  2. You are at least 18 years of age and do not require consent or approval of any other person or entity;

  3. You do not permit or authorise any other person or entity to fill in the Form with your information;

  4. You do not use the Website for any activities considered fraudulent, criminal or illegal under any laws or regulations in any applicable jurisdiction, nor to transmit any harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, sexually explicit, profane, hateful, discriminatory, insidious or other objectionable material of any kind, including, without limitation, material that encourages unlawful conduct;

  5. You transmit to us only information that has been collected and transmitted in full compliance with all Applicable Laws;

  6. You will refrain from using abusive and vulgar language at any stage of the process, whether through email, or phone and maintain professional conduct at all times with us;

  7. That the information provided to us is correct, accurate and up to date to the best of your knowledge and that you have all necessary authorisation to provide such information;

 

 

6. OUR REPRESENTATIONS AND WARRANTIES

 

  1.  ZP Services provides all the content on this Website ‘as is’ without warranties of any kind, either express or implied, including without limitation, warranties of title, implied warranties of merchantability, fitness for a particular purpose or non-infringement of intellectual property;

  2. We declare that the information will be processed in accordance with the Data Protection Act and therefore we hereby acknowledge that in collecting your personal details we are bound by the these laws. We will protect your personal information and respect your privacy in accordance with best business practices and these laws;

  3. Your personal data will not be given to third parties, unless such disclosure is necessary for the effective provision of the Scope, or specifically required by law. We use appropriate security measures to protect your information against any unauthorized access to or unlawful use. Transmission of information over the internet can be insecure. You acknowledge that we cannot always guarantee the security of information transmitted over the internet and that this is out of our control;

  4. We declare and you acknowledge that all implied warranties and conditions are excluded to the maximum extent permitted by law;

  5. We make no guarantees that by submitting the Form on our Website, you will be guaranteed employment with our Company;

  6. You should note in particular: The information provided through these Terms and Conditions are not intended to constitute legal advice in any specific situation; The services provided through this website, and our means of delivering it may be incompatible with your software or computer configuration. ​In the eventuality that any information is lost or is misplaced through no fault of the Company, the Company shall not be held liable. The Company does not represent or warrant that this Website will be accessible without interruption, or that this Website is free from errors, defects, design flaws or omissions or from viruses or other harmful components, however, we will make use of all reasonable means in order to ensure that such data remains confidential and protected at all times; The website is only intended for individuals who submit their employment application through the online-based form. Staffing and recruiting agencies and individuals being represented by an agency are not allowed to use this site to submit profiles, applications or CVs, or to forward CVs directly to employees or any other company location, and any such submissions will be considered unsolicited; You agree to comply with the Terms and Conditions, as well as the Privacy Policy of this website and accept that the Company has no duty to notify you, if at its own discretion and without liability to you, it decides that your application was not sufficient to meet its recruiting standards; We agree to act at all times in good faith an in conformity with the spirit of the purposes of these Terms.

7. FORCE MAJEURE

 

We will not be liable for any loss or damage caused by any viruses or any other technologically damaging material that might infect you computing apparatus, programs or data due to your use of this Website.

 

8. AMENDMENTS

  1. We may at any time amend, delete or add to these Terms and Conditions. An Amendment will be made unilaterally by us and you will be deemed to have accepted the Amendment if after such Amendment has been made, you submit or re-submit the Form through visiting our Website, without lodging any objection to the Amendment;

  2. Furthermore, you acknowledge that we can amend, delete or add any feature to the Website at any time within our discretion without the need to provide prior notice to you;

 

 

9. INTELLECTUAL PROPERTY RIGHTS

 

  1. The Visitor or Applicant acknowledges that any and all of the copyright, trademarks, trade names, patents and other intellectual property rights subsisting in or used in connection with the Scope shall be and shall remain the sole property of the Company. No Applicant shall, throughout the duration as well as after the termination of these Terms and Conditions (whether in whole in part), question or dispute such ownership;

 

10. SEVERABILITY

 

  1. Whenever possible, each provision of these Terms shall be interpreted in such a manner as to be effective and valid under applicable law. If any provision of these Terms is held to be invalid, illegal or unenforceable in any respect, such provision will be ineffective only to the extent of such invalidity, or unenforceability, without invalidating the remainder of these Terms.

 

 

11. INTERPRETATION

 

  1. The interpretation of these Terms and Conditionsshall not be affected by its headings.

 

12.  APPLICABLE LAW AND JURISDICTION

  1. These Terms and Conditions shall be governed and construed in accordance with the laws of Malta.

  2. The Parties hereby undertake and agree that any dispute, controversy or claim which any of them may have under or relating to these Terms and Conditions (including, without limitation, any dispute, controversy or claim relating to the existence, validity or termination of this Agreement) which shall not be possible to resolve amicably, shall be referred to the Malta Centre for Arbitration for resolution in accordance with the Arbitration Act, Chapter 387 of the Laws of Malta. The arbitration tribunal shall be composed of a single arbitrator to be appointed by the Chairperson of the Malta Arbitration Centre which shall conduct its proceedings in Malta in accordance with the Rules of the Malta Arbitration Centre as may from time to time be in force.  The award shall be final and binding upon the Parties. Nothing in this Agreement shall limit the Parties’ right to enforce an arbitration award in any applicable competent court of law.
